Terms of Service

These Terms of Service ("Terms") are an agreement between you and Green Grove Holdings LLC, a Florida limited liability company doing business as KneadBack ("KneadBack," "we," "us"). By creating an account or using the KneadBack website, application, or messaging services (the "Service"), you agree to these Terms.

1. The Service

KneadBack sends and receives text messages on your behalf to your own clients — including appointment reminders, cancellation backfill offers, rebooking and win-back invitations, and review requests — based on your client roster and, with your permission, appointments read from your Google Calendar. KneadBack has read-only calendar access: it never creates, modifies, or deletes calendar events, and all rescheduling by your clients occurs through your own booking link.

2. Your account

You must be at least 18 and use the Service for business purposes. You're responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account.

3. Your clients and messaging consent — your responsibilities

You may only upload contact information for clients with whom you have a genuine business relationship, and you represent that:

each client provided their phone number to you in connection with your services, and you have the right to contact them about appointments and your practice;
you will not use the Service for cold outreach, marketing to purchased lists, or messaging anyone who has not done business with you;
you will honor client opt-outs (the Service enforces STOP requests automatically, and you agree not to circumvent them);
your use of the Service will comply with applicable laws and rules, including the Telephone Consumer Protection Act (TCPA), CTIA messaging guidelines, and Florida law.

You are responsible for the content of message templates you customize. We may reject or disable content that violates law, carrier rules, or these Terms — including any configuration designed to selectively suppress review requests based on expected sentiment ("review gating").

4. Fees, trial, and billing

The Service costs $39 per month, billed by card through our payment processor (Stripe).
New accounts receive a 30-day free trial. A valid card is required to start the trial; billing begins automatically when the trial ends unless you cancel first.
You can cancel anytime from your account or by contacting us. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
We may change pricing with at least 30 days' notice; changes apply at your next billing cycle.

5. Third-party services

The Service depends on third parties — including telecom carriers, Twilio, Google, and Stripe — whose availability and rules are outside our control. Message delivery is not guaranteed; carriers may filter, delay, or block messages. Your use of Google Calendar is also governed by Google's terms, and your booking software is governed by its own terms.

6. Acceptable use

You agree not to use the Service to send unlawful, deceptive, harassing, or inappropriate content; to violate anyone's privacy; to interfere with the Service's operation; or to attempt to access data belonging to other users.

7. Your data

You retain ownership of the client and business information you provide. You grant us the rights needed to operate the Service (storing, processing, and transmitting that information as described in our Privacy Policy). We use your clients' information only to provide the Service to you.

8. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular business outcome, including filled appointments, recovered revenue, client responses, or reviews. Recovered-revenue figures shown in the Service are estimates based on message and calendar activity.

9. Limitation of liability

To the fullest extent permitted by law, KneadBack and Green Grove Holdings LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months before the claim arose.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your breach of these Terms — including claims by message recipients arising from contact information you provided or consent you were responsible for obtaining.

11. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, create carrier-compliance risk, or fail to pay, with notice where practicable. Sections that by their nature should survive termination (including 8–10) survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Manatee County, Florida, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. For material changes, we'll notify you by email or in the Service before they take effect; continued use after that date constitutes acceptance.
